By accessing or using the services of Blacklisted Studio ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms constitute a legally binding agreement between you and Blacklisted Studio.

Blacklisted Studio provides web design, development, search engine optimization (SEO), digital marketing, payment processing integration, and related services ("Services") to businesses operating in various industries, including but not limited to high-risk sectors.
We reserve the right to refuse service to any client at our sole discretion, with or without cause, at any time.
You are solely responsible for all content, materials, products, services, and information ("Client Content") that you provide to us for inclusion on your website or in your marketing materials.
Blacklisted Studio does not review, endorse, approve, or guarantee the accuracy, legality, or appropriateness of any Client Content. We are not responsible for and make no representations or warranties regarding Client Content, including but not limited to:
You agree to indemnify, defend, and hold harmless Blacklisted Studio, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
You represent and warrant that you own all rights to the Client Content or have obtained all necessary permissions, licenses, and consents to use such Content. You grant Blacklisted Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and modify the Client Content solely for the purpose of providing the Services to you.
Payment terms, including fees, schedules, and methods, will be specified in your service agreement or proposal. All fees are non-refundable unless otherwise specified in writing.
Late payments may result in suspension or termination of Services. Blacklisted Studio reserves the right to charge interest on overdue payments at the maximum rate permitted by applicable law.
All proprietary materials, including but not limited to software, code, designs, templates, methodologies, processes, and know-how developed by Blacklisted Studio in the course of providing Services ("Blacklisted Studio IP") remain the exclusive property of Blacklisted Studio unless otherwise agreed in writing.
Upon full payment for Services, you receive a license to use the final deliverables for your business purposes. Specific ownership and licensing terms will be outlined in your service agreement.
Services may incorporate third-party materials, including fonts, stock images, plugins, or software licenses. You are responsible for obtaining and maintaining any required licenses for third-party materials used in your project.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACKLISTED STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
IN NO EVENT SHALL BLACKLISTED STUDIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO BLACKLISTED STUDIO FOR THE SERVICES GIVING RISE TO THE CLAIM.
The limitations in this section apply even if Blacklisted Studio has been advised of the possibility of such damages.
BLACKLISTED STUDIO PROVIDES SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Blacklisted Studio does not warrant that:
Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of our engagement. This obligation does not apply to information that is or becomes publicly available, was already known to the receiving party, or is independently developed.
Either party may terminate the engagement upon written notice. Upon termination, you shall pay all fees for Services rendered up to the date of termination. Blacklisted Studio may immediately terminate Services for violation of these Terms or for any reason at our sole discretion.
You are solely responsible for ensuring that your business, website, products, and services comply with all applicable federal, state, local, and international laws, regulations, and industry standards. This includes but is not limited to:
Blacklisted Studio provides no legal advice and makes no representations regarding regulatory compliance. You should consult with qualified legal counsel for guidance on compliance matters.
Blacklisted Studio shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, internet outages, or government actions.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Blacklisted Studio is headquartered, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
These Terms, together with any service agreements or proposals, constitute the entire agreement between you and Blacklisted Studio regarding the Services and supersede all prior communications, agreements, or understandings.
